for Web Development and Maintenance Services
These General Terms and Conditions (GTC) apply to all contracts between Frogs Can Fly UG (haftungsbeschränkt) (hereinafter referred to as the "Service Provider") and the client for services in the field of web development, web design, and technical maintenance of websites and web applications.
The Service Provider offers services in the areas of web design, web development, technical support, and maintenance of existing web presences. The exact scope of services will be defined individually in the corresponding offer or project agreement.
Projects will only be executed based on a complete specification document (Lastenheft).
In the case of assignments by agencies or intermediaries, the agency is solely responsible for the creation, completeness, and accuracy of the specification document. End customers (direct clients) are exempt from this rule.
Services that are not explicitly listed in the specification document are not part of the offer and will be billed separately at the standard hourly rate defined in Section 3.
Unless otherwise agreed in writing, billing is based on hourly rates. The standard hourly rate is €90.00 net.
All prices are exclusive of applicable VAT.
Any additional services not included in the specification document or scope of the original offer will also be charged at the standard hourly rate of €90.00 net.
Invoices are payable in full within 14 days of the invoice date without any deductions. In the event of late payment, the Service Provider reserves the right to charge statutory default interest.
The client agrees to provide all necessary information, data, and access credentials in a timely and complete manner. Delays caused by missing input or cooperation are not the responsibility of the Service Provider.
After completion of the project or a project phase, the results will be submitted to the client for acceptance. If no feedback is received within 10 business days, acceptance shall be deemed granted.
The Service Provider warrants that the services rendered will conform to the agreed specifications. Defects must be reported in writing without undue delay. Corrections will be made within a reasonable time frame.
The Service Provider is only liable for damages caused by intent or gross negligence. Liability for data loss, downtime, or consequential damages is excluded unless caused by gross negligence.
Upon full payment, the Service Provider grants the client a simple, non-transferable right of use to the content created within the scope of the project. Any further use requires a separate agreement.
Both parties agree to treat all confidential information received during the collaboration as strictly confidential, even after the end of the contractual relationship.
If any provision of these GTC is or becomes invalid in whole or in part, the validity of the remaining provisions shall remain unaffected. German law shall apply. If the client is a merchant, the place of jurisdiction shall be the registered office of the Service Provider.
